VERTICAL TRAINING TERMS AND CONDITIONS OF USE

Please read these Terms and Conditions of Use (“TOU”) carefully. You must agree to these TOU before you are permitted to use any Vertical Development GmbH training programs, including digital or downloadable resources, online courses, one-on-one or group coaching, classes, programs, workshops, or trainings, or to enter any online private forums operated by Vertical Development GmbH (for any purpose), whether on a website hosted by Vertical Development GmbH or a third-party website such as an online course platform (collectively “the Program”).

If you do not agree with these TOU, you may not use the Program.

As used in these TOU, the term “Releasees” is defined to include the following: (i) Vertical Development GmbH, its subsidiaries, affiliated companies, owners, members, managers, directors, officers, past and present employees, agents, coaches, representatives, successors, and assigns (collectively “the Company”); (ii) any Company volunteers.

1. Scope of Training

The training program (“Training”) provided by Vertical Development GmbH (“Trainer”) aims to enhance the skills and knowledge of participants (“Trainee”) in accordance with the agreed training modules. The content and objectives of the Training shall be determined through mutual agreement before commencement.

2. Nature of Training and Responsibilities

The Training requires active participation from the Trainee. The Trainer facilitates the process, but the Trainee is responsible for applying the knowledge and implementing the necessary changes. The choice and modification of training methods are at the sole discretion of the Trainer.

The Trainee acknowledges full responsibility for their physical and mental well-being during the Training and agrees that any actions taken as a result of the Training are their sole responsibility.

The Trainer exercises due diligence in the provision of Training but limits liability to cases of gross negligence or intentional misconduct, except for personal injury claims.

3. Training Structure and Duration of the Peak Performance with Flow Program

The Training is structured as follows:

  • Phase 1 (Training Phase - 3 Months)
    • Personal Peak Performance Analysis
    • Personalized Workbook
    • 60-minute Onboarding & Goal-Setting Call
    • Weekly 30-minute team coaching calls
    • Weekly 30-minute Training Calls
    • Weekly 60-minute Q&A Session
    • Daily Accountability (if required)
    • 24/7 access to trainers via the course platform
    • Course platform and app with training materials (accessible post-training)
    • 60-minute individual wrap-up call
  • Phase 2 (Integration Phase - 3 Months)
    • Monthly 30-minute individual check-in call
    • Weekly 30-minute team coaching calls (self-organized)
    • Weekly 60-minute Q&A Session
    • Weekly or daily Accountability (if required)
    • Continued 24/7 access to training materials and platform

All Training is conducted virtually via online platforms.

4. Pre-existing Conditions

The Trainee confirms they do not have any medical, psychological, or other conditions that would prevent them from safely participating in the Training. If in doubt, a medical statement must be provided. The Trainee is required to disclose any pre-existing conditions that may impact their ability to engage in the Training.

5. Payment Terms 

  • Full Payment: Due within 5 business days or before the Onboarding Call.
  • Installments: 10 installments with the first payment due within 5 business days, and subsequent payments monthly.
  • Late Payment: Interest of 4% per annum applies to overdue payments. Additional legal or collection fees will be charged in case of non-payment.

6. Scheduling, Cancellations, and Missed Sessions

  • Training sessions are scheduled by mutual agreement and are binding.
  • Training can be paused and resumed at an agreed later date.
  • If the Trainee cancels the entire Training less than one business day before the first session, the full Training fee remains payable.
  • If the Trainer is unable to conduct a scheduled session, a rescheduled session will be arranged at the earliest possible time.

7. Confidentiality and Data Protection

The Trainer commits to maintaining the confidentiality of any information shared during the Training. Personal data will be processed in accordance with applicable data protection laws. The Trainee consents to the use of their data for internal administrative purposes and potential marketing communication (e.g., newsletters, offers). Consent can be withdrawn at any time by contacting [email].

8. Limitation of Liability The Trainee participates at their own risk. The Trainer is not liable for any injuries, damages, or losses incurred during or as a result of the Training, except in cases of gross negligence or intentional harm. The Trainee confirms they have adequate personal insurance coverage.

9. Withdrawal and Right of Cancellation

Trainees who enroll in the Training outside the Trainer’s premises (e.g., via email or online) are entitled to a 14-day withdrawal period as per consumer protection laws.

  • The cancellation period begins on the date of contract conclusion.
  • To exercise the right of withdrawal, the Trainee must notify the Trainer via an explicit written statement (e.g., letter, email) sent before the 14-day deadline.
  • Upon withdrawal, the Trainer shall refund all received payments, including standard delivery costs (excluding additional costs due to special delivery preferences), within 14 days of receiving the withdrawal request.
  • Refunds will be processed using the original payment method unless otherwise agreed.
  • If the Trainee requests that the Training begins during the withdrawal period, they will be liable for a proportional fee covering the services provided up to the cancellation date.

10. Termination of Participation

The Trainer reserves the right to revoke a Trainee’s participation in the Training under the following conditions:

  • If the Trainee misuses, copies, or distributes training content unlawfully.
  • If the Trainee disrupts the Training environment or violates confidentiality agreements.
  • If the Trainee fails to meet payment obligations beyond a reasonable grace period.

A termination initiated by the Trainer does not entitle the Trainee to a refund, and outstanding payments remain due.

11. Intellectual Property Rights

All Training materials, including workbooks, videos, slides, and digital content, remain the exclusive property of the Trainer. Trainees receive a non-transferable, revocable license for personal use only. Sharing, reproducing, or using materials for commercial purposes is strictly prohibited without written consent from the Trainer.

12. Governing Law and Jurisdiction

These Terms and Conditions are governed by German law. Any disputes arising from or related to this agreement shall be resolved exclusively in the courts of Berlin, Germany.

13. Amendments

Vertical Development GmbH reserves the right to update these TOU at any time. Any modifications will be posted online, and continued use of the Program constitutes acceptance of the revised terms.
